Jain Consultants provides comprehensive IT consulting and software development services including but not limited to:

- Digital transformation and modernization projects
- Ongoing maintenance and technical support services
3. Client Responsibilities
To ensure successful project delivery, clients are responsible for:
- Providing accurate and complete project requirements in a timely manner
- Supplying necessary access to systems, data, and resources required for project completion
- Providing timely feedback and approvals during development phases
- Ensuring availability of designated project stakeholders for regular communication
- Maintaining confidentiality of any proprietary information shared during the project
- Making payments according to the agreed schedule and terms
4. Intellectual Property
All custom software solutions and applications developed by Jain Consultants become the intellectual property of the client upon full payment completion. However, the following provisions apply:
- Pre-existing tools, frameworks, and libraries retain their original licensing terms
- Jain Consultants retains rights to general methodologies and know-how developed
- Any third-party components used will be clearly documented with appropriate licenses
- Source code ownership transfers to client only after final payment is received
- Jain Consultants may use project experience for marketing purposes with client approval
5. Payment Terms
Payment terms and conditions are as follows:
- Detailed payment schedules will be outlined in individual project contracts
- Projects typically require 25-50% deposit before work commencement
- Milestone-based payments are implemented for larger projects
- Final payment is due before project delivery and code transfer
- Late payment fees may apply for overdue invoices beyond 30 days
- All payments should be made in Indian Rupees (INR) unless otherwise agreed
- Payment methods include bank transfer, online payment gateways, and checks
6. Confidentiality
We maintain strict confidentiality regarding all client information:
- All client data and project details are kept strictly confidential
- Non-disclosure agreements (NDAs) are available upon client request
- Employee access to client information is limited to project necessity
- Client data is stored securely and protected against unauthorized access
- We do not share client information with third parties without explicit consent
- Confidentiality obligations continue even after project completion
7. Limitation of Liability
The following limitations apply to our services:
- Jain Consultants' total liability is limited to the contract value of the specific project
- We are not liable for indirect, consequential, or incidental damages
- Force majeure events (natural disasters, pandemics, etc.) may affect delivery timelines
- Client is responsible for data backup and recovery procedures
- We provide no warranties beyond those explicitly stated in project contracts
- Liability exclusions apply to third-party software and services integrated into projects
8. Project Scope and Changes
Project scope and change management:
- Project scope will be clearly defined in the initial contract and requirements document
- Any changes to the original scope must be documented and approved by both parties
- Scope changes may result in additional costs and timeline adjustments
- Change requests will be evaluated and quoted separately before implementation
- Major scope changes may require contract amendments and additional agreements
- Timeline extensions due to scope changes will be documented and agreed upon
9. Support and Maintenance
Post-delivery support and maintenance terms:
- Basic support is typically included for 30-90 days after project delivery
- Extended support and maintenance contracts are available separately
- Support includes bug fixes and minor adjustments within the original scope
- New feature development is considered separate from maintenance support
- Response times for support requests vary based on severity and contract terms
- Emergency support may be available for critical production issues
10. Termination
Project termination conditions:
- Either party may terminate the agreement with 30 days written notice
- Completed work and associated payments remain valid upon termination
- Client must pay for all work completed up to the termination date
- Deliverables completed at termination will be provided to the client
- Confidentiality and intellectual property terms survive contract termination
- Termination due to client breach may result in immediate cessation of services
11. Governing Law
These terms and conditions are governed by the laws of India. Any disputes arising from these terms or our services will be subject to the jurisdiction of courts in Jaipur, Rajasthan. We strive to resolve any disputes through amicable discussion before pursuing legal action.
12. Updates to Terms
Jain Consultants reserves the right to update these terms and conditions at any time. Changes will be effective immediately upon posting on our website. Clients will be notified of significant changes via email. Continued use of our services after changes constitutes acceptance of the updated terms.
